About these terms

These Terms of Business apply to creative services supplied by Destination Rocks.

“Destination Rocks”, “we”, “us” and “our” means:

“Client”, “you” and “your” means the person, company or organisation commissioning the work.

A project is formed when you accept our quotation or proposal and pay any required deposit.

The quotation or proposal and these Terms of Business together form the agreement between us.

Our services

Destination Rocks creates original music and related creative assets for hotels, resorts, hospitality destinations and brands.

Depending on the project, services may include:

  • research and creative direction;

  • lyrics and songwriting;

  • Signature Songs;

  • Cinematic or Orchestral Scores;

  • Destination Collections and Albums;

  • music production and editing;

  • artwork;

  • audio masters;

  • digital release preparation;

  • music distribution;

  • QR assets;

  • social or digital content;

  • streaming and performance reporting.

The precise deliverables will be stated in the quotation or proposal.

Creative brief

Projects begin with an agreed creative direction based on information supplied by the Client and Destination Rocks' research.

The Client is responsible for providing accurate information concerning its brand, destination, history, facilities and any factual claims it wishes included in the work.

Where lyrics are included, the Client will normally be asked to approve the lyrics before final music production.

Changes requested after a previously approved stage may constitute additional work.

AI-assisted and digital production

Destination Rocks uses modern digital production methods.

These may include AI-assisted music generation, synthetic or digitally generated vocals, virtual instruments, editing software and other digital creative tools, together with human research, creative direction, selection, editing, refinement and production.

Unless specifically agreed otherwise, a commission does not imply that individual vocals or instruments have been performed by human session musicians.

Destination Rocks uses production tools and services that it reasonably believes permit the intended commercial use of the resulting work.

Creative interpretation

Music is subjective.

We will interpret the agreed brief using our professional creative judgement and will work with the Client through the agreed review process.

Examples or references supplied by the Client indicate intended mood, direction or character only. Destination Rocks will not deliberately reproduce or imitate another artist's protected work.

Revisions

Unless a quotation states otherwise, each project includes up to two reasonable rounds of revisions following presentation of the initial music.

Reasonable revisions include adjustments that remain within the agreed creative direction.

A substantial change of genre, concept, lyrics, structure or creative direction after approval may be treated as additional work and quoted separately.

Minor artwork revisions are included prior to final artwork approval.

 

Fees

The project fee will be stated in the quotation or proposal.

Unless otherwise agreed:

50% is payable on order to confirm the commission and begin work.

The remaining 50% is payable following approval of the final music and artwork and before public release, distribution and delivery of final release assets.

VAT will be added where legally applicable.

Deposit

The initial payment reserves production time and covers the commencement of research and creative work.

Once substantive work has begun, the deposit is non-refundable if the Client chooses to cancel the project.

This does not affect any legal rights that cannot be excluded.

Approval and final payment

Approval may be given by email or another agreed written method.

Once the music and artwork have been approved, the remaining project balance becomes due.

Distribution and public release will normally take place only after cleared final payment has been received.

Client cancellation

If the Client cancels before work begins, any refund will be considered taking account of work already undertaken and costs incurred.

If the Client cancels after work has begun, the deposit will normally be retained.

If cancellation occurs after final music and artwork approval, the full agreed project fee remains payable.

Delays

Any estimated timetable depends on timely Client feedback and approvals.

If Client feedback or materials are delayed, delivery and release dates may also move.

Destination Rocks is not liable for delays caused by third-party distributors, streaming services, technology providers or events outside our reasonable control.

Rights in Client material

The Client retains ownership of its existing trade marks, logos, photographs, text and other material supplied to Destination Rocks.

The Client confirms that it has the right to provide and authorise our use of those materials for the project.

The Client is responsible for the accuracy and legality of Client-supplied information and materials.

Rights in Destination Rocks work

Unless otherwise agreed in writing, Destination Rocks retains ownership of the intellectual-property rights it owns or controls in the commissioned music, artwork and production materials.

Following full payment, the Client receives a perpetual, worldwide, royalty-free licence to use the approved final deliverables in connection with its own destination, property, business or brand.

Permitted uses include:

  • websites;

  • social media;

  • organic and paid marketing;

  • brand and destination films;

  • digital advertising;

  • PR;

  • guest communications;

  • rooms and public areas;

  • restaurants, spas and hospitality spaces;

  • presentations;

  • events and experiences.
     

This licence is subject to any restrictions imposed by third-party platforms or technology providers.

Destination Rocks will not knowingly resell the identical final commissioned track or bespoke artwork to another destination or brand.

Any transfer or assignment of copyright must be specifically agreed in writing.

Where intellectual-property rights in AI-assisted output are limited or treated differently under applicable law, the licence applies to the fullest extent of the rights owned or controlled by Destination Rocks.
 

Alteration of music

The Client may make reasonable edits necessary for its own content, including shortening or fading a track for films, reels or advertising.

The Client may not materially alter the music, create derivative commercial releases from it or licence it to unrelated third parties without prior written permission.
 

Digital release and distribution

Where distribution is included, Destination Rocks will prepare and submit approved releases to its chosen digital distribution service for delivery to participating platforms.

Target platforms may include Spotify, Apple Music, Amazon Music, YouTube Music, Deezer, TIDAL and other services.

Destination Rocks cannot guarantee:

  • acceptance by every platform;

  • continued availability on every service;

  • specific release dates where controlled by third parties;

  • playlist inclusion;

  • search ranking;

  • audience numbers;

  • streaming levels.

Platforms may change their services, rules or territories without our control.

Artist and release credits

The artist name, release title, client attribution and other release metadata will be agreed where relevant before distribution.

Destination Rocks may be credited as creator, producer, label or other appropriate role depending on the project and release structure.

QR codes

QR codes and listening links may be supplied as part of the project.

The Client is responsible for checking final printed materials before large-scale production.

Destination Rocks cannot guarantee the permanent operation of third-party streaming platforms or external URLs outside its control.

Performance reporting

Where performance reporting is included, it may use information provided by distributors, streaming services, QR services and other third-party platforms.

Streaming and audience statistics can be delayed, estimated or subsequently adjusted.

Reporting is therefore provided for marketing and performance insight rather than as audited financial information.

The precise reporting frequency and duration may be specified in the project proposal.

Streaming income

Unless otherwise agreed in writing, any distributor or streaming income received directly through a Destination Rocks distribution account remains with Destination Rocks. The Client's commercial value is the licensed use, distribution and promotional benefit of the commissioned music rather than an entitlement to streaming royalties. Alternative revenue-sharing arrangements may be agreed for individual projects.

Portfolio use

Unless confidentiality has been agreed in writing, Destination Rocks may display publicly released commissioned work in its website, showreel, social media, presentations and portfolio.

We will not publicly describe a Client as a customer before the project or relationship has become public.

Confidentiality

Each party will take reasonable care of genuinely confidential commercial information supplied by the other.

This does not apply to information already public, independently obtained or required to be disclosed by law.

No guarantee of commercial results

Destination Rocks creates creative and marketing assets but does not guarantee any particular level of:

  • bookings;

  • sales;

  • customer acquisition;

  • social-media engagement;

  • streams;

  • press coverage;

  • return on investment.
     

Liability

Nothing in these Terms excludes liability where it would be unlawful to do so, including liability for fraud or for death or personal injury caused by negligence.

Subject to that, Destination Rocks' total liability arising from an individual project will normally be limited to the amount actually paid to Destination Rocks for that project.

Destination Rocks will not be liable for indirect or consequential losses, loss of anticipated profits or losses caused by third-party digital platforms outside its reasonable control.

Suspension or termination

We may suspend work or release where an invoice remains overdue or where the Client materially breaches the agreement.

Either party may terminate the agreement for a serious breach that is not remedied within a reasonable period after written notice.

Rights and payment obligations arising before termination remain unaffected.
 

Force majeure

Neither party will be liable for failure or delay caused by circumstances genuinely outside its reasonable control.
 

Entire agreement

The accepted quotation or proposal, these Terms and any subsequently agreed written variation form the agreement between the parties.

Changes should be agreed in writing.
 

Governing law

The agreement is governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over disputes arising from it.
